Movestuff Limited – Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Movestuff Limited ("Movestuff", "we", "us", "our") digital platform (the "Platform"), which is operated by Movestuff Limited, a New Zealand company. By registering an account, posting a job, submitting a quote, or otherwise accessing or using the Platform, you agree to these Terms. If you do not agree with any part of these Terms, you must refrain from using the Platform.
1. Definitions and Interpretations
1.1 Definitions
In these Terms, the following expressions have the meanings set forth below, unless the context otherwise requires:
- "Account" means the personal and/or business profile created by a user to access the Platform.
- "Consumer" means an individual or business entity that uses the Platform to request transportation or moving services.
- "Transport Provider" means an individual, company, or business entity registered on the Platform offering transport or moving services.
- "Job" means any transportation or moving service request placed by a Consumer on the Platform.
- "Quote" means the formal bid or price proposal submitted by a Transport Provider in response to a Job.
- "Service Fee" means the fee calculated as 10% of the accepted Quote amount, which is deducted by Movestuff prior to crediting the remaining funds.
- "Balance" refers to the funds held in a Transport Provider's account on the Platform as a result of accepted Jobs.
- "Dispute" means any disagreement arising between the parties in relation to any Job, payment, or service rendered through the Platform.
- "Privacy Policy" means the document that sets forth how Movestuff collects, uses, discloses, and secures your information.
1.2 Interpretation
- References to "including" or "includes" shall be deemed to be without limitation.
- Headings are provided for convenience only and do not affect the interpretation of these Terms.
- Any reference to a statute or statutory provision includes any subordinate legislation, regulations, or orders that may be made under that statute.
2. Account Registration and User Responsibilities
2.1 Eligibility
You must be at least 18 years of age and have legal capacity under New Zealand law to enter into binding agreements before you can register for an Account on the Platform.
2.2 Registration Process
- You agree to provide true, accurate, and complete information during the registration process and to update such information promptly if there are any changes.
- Movestuff reserves the right to suspend or terminate any Account found to be misleading, fraudulent, or in violation of these Terms.
- You are responsible for maintaining the confidentiality of your login credentials and any actions performed through your Account.
2.3 User Responsibilities
- You must use the Platform solely for lawful purposes and in accordance with these Terms.
- You agree not to use any automated methods (e.g., bots or scrapers) to collect data from or otherwise interact with the Platform without our express written consent.
- The integrity, accuracy, and legitimacy of your account information is your exclusive responsibility.
3. Job Posting, Quotes, and Contract Formation
3.1 Job Posting by Consumers
- Consumers may post Jobs on the Platform free of charge.
- Each Job posting must include clear and accurate details of the transportation or moving requirements, including but not limited to pickup and drop-off locations, timing, and any specific instructions.
- Consumers acknowledge that once a Job has been posted, it creates an invitation for offers but does not constitute a contractual offer itself.
3.2 Submission of Quotes by Transport Providers
- Only Transport Providers with a verified Account and a positive Balance are eligible to submit Quotes.
- Quotes must accurately reflect the costs, timelines, and conditions under which the services will be provided.
- A Quote is valid for a period defined by Movestuff, and failure to accept within this period may result in its withdrawal.
3.3 Contract Formation
- When a Consumer accepts a Quote, a binding contract is formed directly between the Consumer and the Transport Provider, subject to the provisions outlined herein.
- All Job-related communications, adjustments, or amendments must be conducted exclusively through the Platform until a quote is accepted by the consumer.
- Upon acceptance of quote the consumer agrees that their contact information will be securely shared with the transport provider to arrange pickup.
4. Payment Processing and Platform Fees
4.1 Payment Collection
- Payment is collected prior to quoting on jobs on the platform. Transporters must hold at least 10% of the value they are quoting in their balance in order to submit a quote.
- Payment transactions are processed securely in accordance with the applicable laws governing online payment systems in New Zealand.
4.2 Service Fee Structure
- For every successful Job, Movestuff will deduct a Service Fee of 10% from the total amount paid by the trnasporter.
- The remaining funds (after the Service Fee deduction) are credited to the Transport Provider's Balance.
- Movestuff reserves the right to adjust the Service Fee percentage in the future, subject to a 30-day prior notification to all affected users.
4.3 Account Balances and Withdrawals
- Transport Providers are responsible for monitoring and managing the Balance held in their Account.
- Withdrawals are processed subject to verification, with standard processing timelines of 1–3 business days. Delays may occur if further verification is required.
4.4 Refunds and Chargebacks
- In the event of a chargeback or refund, the disputed amount may be held pending investigation, and any Service Fee deductions recovered accordingly.
- Movestuff's determination of a refund will be final and binding after any internal review or external mediation if required.
5. Dispute Resolution and Claims
5.1 Initial Resolution
- Users agree to attempt to resolve any disputes directly with the other party prior to escalating the matter to Movestuff.
- Users must reference the unique Job ID and supply all relevant communication and evidence when seeking dispute resolution.
5.2 Internal Dispute Process
- Movestuff's support team will conduct an internal investigation for any claim or dispute raised, aiming to resolve issues promptly and fairly.
- Decisions made during the internal dispute process are at the sole discretion of Movestuff and shall be considered final, although users may seek external legal advice if necessary.
5.3 Limitation on Claims
Unless otherwise mandated by applicable law, neither Movestuff nor its officers, agents, or employees shall be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the Platform.
6. Use of the Platform and Prohibited Conduct
6.1 Proper Use
- Users must use the Platform in conformity with all applicable laws, rules, and regulations.
- All services and communications facilitated through the Platform should be conducted professionally and ethically.
6.2 Restricted Activities
Users shall not:
- Solicit or provide personal contact information or request payments outside the Platform until a quote has been accepted.
- Interfere with or disrupt the operation of the Platform, including the use of automated tools or software.
- Engage in any fraudulent or unlawful activities, including misrepresenting the nature of services provided or deliberately circumventing the Platform's fee system.
6.3 Monitoring and Enforcement
Movestuff reserves the right to monitor all activity conducted on the Platform and to take appropriate enforcement action, including account suspension or termination, against any user who breaches these Terms.
7. Ratings, Reviews, and Feedback
7.1 Review Process
- Upon completion of a Job, Consumers may leave a review and rating for the Transport Provider.
- Transport Providers may also provide feedback regarding the Consumer, subject to our review guidelines.
7.2 Moderation and Removal
- Movestuff reserves the right to edit, remove, or refuse to display any review or rating that does not comply with these Terms or our Community Standards.
- Reviews should be honest, factual, and respectful. Any abuse or defamation may result in removal and potential account suspension.
8. Intellectual Property and Content License
8.1 Ownership
All intellectual property rights in the Platform's content—including software, graphics, trademarks, and data—are owned by or licensed to Movestuff. No rights are transferred to users by use of the Platform.
8.2 User-Generated Content
- Any content, including reviews, comments, or ratings, submitted by users becomes the property of Movestuff once posted.
- Users grant Movestuff a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content as part of the Platform.
8.3 Prohibited Uses
Unless expressly authorized in writing by Movestuff, no user may copy, modify, distribute, or otherwise use any proprietary content obtained through the Platform.
9. Privacy and Data Protection
9.1 Privacy Policy
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and safeguard your personal data. We adhere to the New Zealand Privacy Act 2020 and other relevant data protection laws.
9.2 Data Security
Movestuff employs industry-standard security measures to protect your data, but cannot guarantee the absolute security of any data transmitted over the Internet.
9.3 User Consent
By using the Platform, you consent to the collection, use, and potential international transfer of your personal data as described in our Privacy Policy.
